Terms of Service

These Terms of Service ("Terms") govern your access to and use of ALP Operating System (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

ALP Operating System provides operating-system tooling for contracting businesses, including vision/traction planning, quarterly rocks, scorecards, L10 meeting management, accountability charts, and related features. We may add, change, or remove features at our discretion.

2. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for safeguarding your credentials and for all activity that occurs under your account.
  • One account per person. You may not share login credentials with others.
  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service, except as permitted by law.
  • Interfere with the Service, attempt to gain unauthorized access, or probe its security.
  • Upload malware, spam, or content that infringes others' rights.
  • Abuse, harass, or impersonate other users.
  • Use the Service to build a competing product or to scrape its content in bulk.

4. Your content

You retain ownership of the data you and your team enter into the Service ("Your Content"). You grant us a limited, non-exclusive license to host, store, transmit, display, and process Your Content solely as needed to operate and improve the Service for you.

You are responsible for Your Content and for ensuring you have the rights to upload it.

5. Subscription and fees

Pricing, plans, and billing terms (if any) will be presented in the Service before you incur a charge. Unless stated otherwise, fees are non-refundable except where required by law. We may change pricing on prospective renewals with reasonable notice.

6. Termination

  • You may close your account at any time from Settings → Danger Zone.
  • We may suspend or terminate your access if you violate these Terms or if we are required to do so by law.
  • You can export your workspace data from Settings → Export before deletion.

7. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

8. Limitation of liability

To the maximum extent permitted by law, ALP Operating System and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months preceding the claim, or (b) USD $100.

9. Indemnification

You agree to indemnify and hold harmless ALP Operating System from any claim or demand arising out of your use of the Service, Your Content, or your violation of these Terms.

10. Changes to the Service or these Terms

We may update these Terms from time to time. Material changes will be communicated by email or through an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising from or relating to these Terms or the Service.
